CONDOMINIUM SALE AND PURCHASE AGREEMENT

Mr./Ms. ___________________________, a __________ national holding Passport No. __________, residing at __________________________, Telephone: _________________
Email: _________________, hereinafter referred to as the “Buyer”, (Attached copy of passport as Annex II).
The Seller and the Buyer are collectively referred to as the “Parties” and individually as a “Party.”
WHEREAS
- A. The Seller is the lawful foreign freehold owner of Condominium Unit No. ___, having an area of approximately ___ square meters (including balcony), located on the ___ floor of __________________ Condominium, Building No. ___, registered as a condominium project under Condominium License No. ___, situated on land held under Title Deed No. ___, Sub-District __________, District __________, Province __________ (the “Unit”). The Unit is officially registered under House Registration Book No. __________, as shown in the copy of the Condominium Title Deed and House Registration Book attached hereto as Annex III.

The Unit forms part of the common property of __________________ Condominium and is subject to the provisions of the Condominium Act B.E. 2522, including the payment of common area maintenance fees, sinking fund contributions, and other expenses levied by the Condominium Juristic Person, as well as compliance with its rules and regulations.
- D. The Seller wishes to sell and the Buyer wishes to purchase the Unit on the terms and conditions contained herein.
NOW, THEREFORE, the Parties agree as follows:
1. SALE AND PURCHASE
- 1.1 The Seller agrees to sell and the Buyer agrees to purchase the Unit, together with the furnishings, fixtures, and fittings as detailed in the Furniture List attached hereto as Annex IV (collectively, the “Property”).
- 1.2 The Seller represents and warrants that the Unit is free and clear of all liens, mortgages, encumbrances, claims, leases, or other rights of third parties.
- 1.3 Upon execution of this Agreement, the Buyer confirms that they have personally inspected and investigated the Unit and its condition, and agree to accept the Unit in its current “as is” condition, subject only to normal wear and tear prior to the Transfer Date.
2. PURCHASE PRICE
- 2.1 The total purchase price for the Unit and included furniture, fixtures, and movable items (collectively the “Property”) is agreed at Baht __________ (____________ Baht) (the “Total Purchase Price”), which is allocated as follows:
- (a) Price of the Condominium Unit (immovable property): Baht __________ (____________ Baht);
- (b) Price of Furniture and Movable Items: Baht __________ (____________ Baht).
- 2.2 The Parties acknowledge that the amount under (a) shall be used for registration of transfer of ownership at the Land Office and shall be the declared sale price for taxation and fee calculation purposes.
- 2.3 The amount under (b) represents the agreed value of movable items not subject to property transfer taxes, which shall be sold and transferred together with the Unit on the Transfer Date, as mutually agreed between the Parties.
3. PAYMENT TERMS
- 3.1 The Buyer shall pay the Purchase Price to the Seller in the following instalments:
- Deposit: On the execution of this Agreement, the Buyer shall pay a deposit of Baht __________ (__________ Baht), equivalent to ___ percent (___%) of the total Purchase Price (the “Deposit”), to secure the purchase of the Unit.
- Balance: The remaining balance of Baht __________ (__________ Baht), equivalent to ___ percent (___%), shall be paid by the Buyer on the settlement date at the Land Office at the time of registration of the transfer of ownership (the “Transfer Date”).
- 3.2 Method of Payment. The Parties agree that payment may be made by one of the following methods (tick or initial the selected option):
- 3.3 Foreign Remittance. All payments of the Purchase Price shall be made in foreign currency transferred into Thailand from abroad, and converted into Thai Baht by the receiving Thai bank in accordance with the Condominium Act.

3.4 Foreign Currency Remittance and FET Form. The Buyer shall ensure that the purchase funds are remitted from abroad in foreign currency under the Buyer’s name, clearly indicating the purpose of payment as the purchase of the Unit.
Where the funds are remitted directly to the Seller’s Thai bank account, the receiving bank will issue the Foreign Exchange Transaction Form (FET) or equivalent evidence of inward remittance. The Seller shall promptly provide the Buyer with an original or certified copy of such FET (or the bank confirmation letter) for submission to the Land Office.
Where the funds are transferred into the Buyer’s own Thai account or an escrow/holding account, the Buyer shall obtain the FET or confirmation letter directly from the receiving bank.
In all cases, the Parties shall cooperate to ensure that the FET or equivalent document is issued in the Buyer’s name and correctly references the condominium unit details and purchase purpose.
- 3.5 The Buyer shall bear any remittance or transfer fees incurred outside Thailand.
- 3.6 Until the Purchase Price has been paid in full and the registration of ownership transfer has been completed, title to the Unit shall remain with the Seller.
4. TRANSFER OF OWNERSHIP
- 4.1 The Parties shall complete the registration of the transfer of ownership at the relevant Land Office within ___ (____) days from the date hereof, or such other date as may be mutually agreed in writing (the “Transfer Date”).
- 4.2 The Seller shall deliver the Unit vacant and free from occupants, together with all keys and original ownership documents (Title Deed, House Registration Book, utility accounts, and relevant warranties) to the Buyer on the Transfer Date.
- 4.3 The Buyer shall prepare all necessary buyer-side documentation (including the Foreign Exchange Transaction Form). The Seller shall prepare all seller-side documentation required by the Land Office and the Condominium Juristic Person.
5. TAXES, FEES, AND EXPENSES
