Real estate lease and rental contracts in Thailand

Hire of immovable property (land, house, condominium) for residential purpose by foreigners is governed by civil and commercial Code sections 537 to 571 (law text copied below) and further specified by the Thailand Supreme Court. Foreigners are under Thai law allowed to lease real estate property for up to 30 years and the law is applied in the same manner if the lessee is a foreign or Thai national.

Lease term and registration of the lease agreement

A lease (rental) agreement exceeding 3 years must be registered with the local land office to be enforceable by legal action over 3 years (section 538 Civil and Commercial Code). Under the civil and commercial code the term of the lease agreement shall not be over 30 years. Any longer term in the contract shall automatically be reduced back to a term of 30 years (section 540). Also pre-signed or pre-agreed lease renewals are not accepted under Thai law and any agreed consecutive lease terms shall be deemed as part of one lease and reduced to 30 years (section 546). A lease may only be renewed upon expiration of the lease but this will be a new lease that needs to be registered with the land department, and again may not exceed thirty years from the time of renewal.

A few facts of lease/ rental in Thailand:

  • A written rental or lease agreement is enforceable by (legal) action (a verbal agreement not);
  • A rental or lease up to 3 years can be written in another language and does not need to be registered with the land department
  • A rental or lease agreement exceeding 3 years must have a Thai script version registered with the land department
  • A lease agreement can only be registered over titled property (land with a proper title deed)
  • A registered leasehold cannot exceed 30 years, renewal options in the lease agreement are as mere personal contract promises not automatically binding on any transferee owner or successor of the property
  • A lease agreement in essence creates for the lessee a personal right of use and possession and the contract is terminated upon his death
  • A leaseholder can only sub-lease or sell (assign) his leasehold interest to another person if this is agreed in the lease agreement
  • A lease registration fee (for registered leases exceeding 3 years) shall be collected at the rate of 1% of the total rental throughout the lease term and stamp duty shall be collected at the rate of 0.1%, also over the total rental throughout the lease term
  • A sublease, rental or lease income is subject to personal income tax

In a leasehold purchase the most complicated part of the transaction is the drafting of the terms and conditions and structuring the lease in a way that it offers the best protection for the foreign leasehold purchaser. The lease agreement must be drafted by an experienced property legal professional and include the necessary protection or the lease may not be enforceable throughout the term (e.g. terminated upon death of the lessee). Common mistakes:

  • The lease agreement exceeding 3 years is not registered with the Land Department (therefore not enforceable by action for the period exceeding 3 years);
  • The standard short form land office lease document is registered and not the lease agreement agreed between the parties;
  • The long term lease concerns land and house where land and house can be separated (land lease and ownership of the building);
  • The land does not have a proper title deed or is not suitable (or restricted) for building or has other legal problems or restrictions (this can be prevented by conducting due diligence prior to entering into a lease agreement);
  • The lease agreement is poorly drafted and will end at death of the lessee, irrespective the term in the lease agreement.

Land lease combined with home ownership

In a long term leasehold interest in a real property by foreigners in Thailand the lease could be structured with ownership over the structures upon the land. It’s only the land part under the Land Code Act which is restricted for foreign ownership and not the building. The preferred legal structure in Thailand to obtain a long term interest in a property is a land lease with all options combined with ownership of the structure. This could be through building the house yourself in combination with a land lease, including a right of superficies, or in case of an existing building through a separate sale of the building in combination with a land lease.

Housing and Land Tax

Thailand charges Building and Land Tax at the rate of 12.5% of the yearly rental according to the property lease agreement or the annual value assessed by the Land Department, whichever is higher over property that is not the primary residence of the owner (e.g. a second home or a property that is rented out by the owner). In case of a property (land AND house) owned by a company building and land tax must be paid by the company irrespective if rent is paid or income is received by the company from it.

Leasehold sale in a housing development

In an official (licensed) property development the content of the freehold sale contracts under which the property is sold must comply with strict land and housing development and consumer protection laws. Selling land and house in the same development leasehold to foreigners does not have to comply with the same laws and the developer can based on general freedom of contract include various for him benificial clauses and even misleading clauses to generate sales, such as lease renewal terms suggesting a 90-year lease term, but which is under Thai hire of property laws enforceable by legal action as a 30-year lease only.

Rent and lease for commercial purposes

Hire of immovable property for commerce and industry by foreigners is in addition governed by a specific law, 'The Hire of Immovable Property for Commerce and Industry by Aliens Act B.E. 2542'. Unless the conditions under this act are met (a considerable investment and remittance into Thailand) hire of immovable property for commerce and industry is also governed by the section 'Hire of Property' in the Civil and Commercial Code.

Section 537. A rent of property is a contract whereby a person, called the lessor, agrees to let another person, called the tenant, have the use or benefit of a property for a limited period of time and the tenant agrees to pay rent therefore.

Section 538. A rent of immovable property is not enforceable by action unless there be some written evidence signed by the party liable. If the rental is for more than three years or for the life of the lessor or tenant, it is enforceable only for three years unless it is made in writing and registered by the competent official.

Section 539. Costs of a contract of rent are borne by both parties equally.

Section 540. The duration of a rent of immovable property cannot exceed thirty years. If it is made for a longer period, such period shall be reduced to thirty years. The aforesaid period may be renewed, but it must not exceed thirty years from the time of renewal.

Section 541. Contract of rent may be made for the duration of the life of the lessor or of the tenant.

Section 542. When several persons claim the same movable property under different contracts of rent, the tenant who has first taken possession of the property by virtue of his contract shall be preferred.

Section 543. When several persons claim the same immovable property under different contracts of rent:

  1. If none of the contracts is required by law to be registered, the tenant who has first taken possession of the property by virtue of his contract shall be preferred.
  2. If all the contracts are required by law to be registered, the tenant whose contract was first registered shall be preferred.
  3. If there is a conflict between a contract which is required by law, and a contract which is not required by law, to be registered, the tenant whose contract has been registered shall be preferred, unless the other tenant has taken possession of the property by virtue of his contract before the date of registration.

Section 544. Unless otherwise provided by the contract of rent, a tenant cannot sublet or transfer his rights in the whole or part of the property rented to a third person.

Section 545. If the tenant rightfully sublets the property rented, the sub-tentant is directly liable to the lessor. In such case a payment of rent made in advance by the sub-tenant to the tenant who sublets cannot be set up against the lessor.

The provisions does not prevent the lessor from exercising his rights against the tenant.

Chapter II
Duties and liabilities of the lessor

Section 546. The lessor is bound to deliver the property hired in a good state of repair.

Section 547. The lessor is bound to reimburse to the tenant any necessary and reasonable expenses incurred by him for the preservation of the property hired, except expenses for ordinary maintenance and petty repairs.

Section 548. In case of delivery of the property rented in a condition not suitable for the purpose for which it is rented, the tenant may terminate the contract.

Section 549. The delivery of the property hired, the liability of the lessor in case of defects and eviction and the effects of a non-liability clause are governed by the provisions of this Code concerning sale, mutatis mutandis.

Section 550. The lessor is liable for any defects which arise during the continuance of the contract and he must make all the repairs which may become necessary, except those which are by law or custom to be done by the tenant.

Section 551. If the defect is not such as would deprive the tenant of the use and benefit of the property rented, and can be remedied by the lessor, the tenant must first notify the letter to make it good. If the defect is not made good within a reasonable time, the tenant may terminate the contract provided the defect is serious enough to justify this course.

Chapter III
Duties and liabilities of the tenant

Section 552. The tenant cannot use the property hired for the purpose other than those which are ordinary and usual, or which have been provided in the contract.

Section 553. The tenant is bound to take as much care of the property hired as a person of ordinary prudence would take of his own property, and to do ordinary maintenance and petty repairs.

Section 554. If the tenant acts contrary to the provision of Sections 552, 553 or contrary to the terms of the contract, the lessor may notify the tenant to comply with such provisions or terms, and if the tenant fails to comply, the lessor may terminate the contract.

Section 555. The tenant is bound to allow the lessor or his agents to inspect the property hired at reasonable times.

Section 556. If the property hired requires urgent repairs during the continuance of the contract, and if the lessor desires to do an act necessary for such repairs, the tenant cannot refuse permission to have such act done, though it may cause him inconvenience. However, if the repairs are of such nature as would take unreasonable length of time and thereby cause the property unsuitable for the purpose for which it is rented, the tenant may terminate the contract.

Section 557. In any of the following cases:

  1. If the property hired is in need of repairs by the lessor, or
  2. If a preventive measure is required for avoiding a danger, or
  3. If a third person encroaches on the property hired or claims a right over it, the tenant shall forthwith inform the letter of occurrence, unless the lessor already has knowledge of it

If the tenant fails to comply with this provision, he is liable to the lessor for any injury resulting from the delay occasioned by such failure.

Section 558. The tenant may not make alterations in, or addition to, the property hired without the permission of the lessor. If he does so without such permission, he must, on request of the lessor, restore the property to its former condition, and he is liable to the lessor for any loss or damage that may result from such alteration or addition

Section 559. If no time for payment of rent is fixed by the contract or by custom, the rent must be paid at the end of each period for which it is stipulated, that is to say: if a property is hired at so much per year, the rent is payable at the end of each year, if a property is hired at so much per month, the rent is payable at the end of each month.

Section 560. In case of non-payment of rent, the lessor may terminate the contract. But, if the rent is payable at monthly or longer intervals, the lessor must first notify the tenant that payment is required within a period not less than fifteen days.

Section 561. If no written description of the condition of the property hired has been made and signed by both parties, the tenant is presumed to have received the property in good state of repair and he must return the property in such condition at the termination or extinction of the contract, unless he can prove that it was out of repair at the time of delivery.

Section 562. The tenant is liable for any loss or damage caused to the property hired by his own fault or by the fault of persons living with him or being his sub-tenant.

But he is not liable for loss or damage resulting from proper use.

Section 563. No action by the lessor against the tenant in connection with the contract of hire can be entered later than six months after the return of the property hired.

Chapter IV
Extinction of Contract of Hire

Section 564. A contract of hire is extinguished at the end of the agreed period without notice.

Section 565. A hire of garden land is presumed to be made for one year.

A hire of paddy land is presumed to be made for the agricultural year.

Section 566. If no period is agreed upon or presumed, either party may terminate the tenancy contract at the end of each period for the payment of rent, provided that notice of at least one rent period is given, but no more than two months notice need be given.

Section 567. If the whole of the property hired is lost, the contract is extinguished.

Section 568. If part only of the property hired is lost without the fault of the tenant, he may claim that the rent be reduced in portion to the part lost.

If in such case the tenant cannot with the remaining part accomplish the purpose for which he entered the contract of rent, he may terminate the tenancy contract.

Section 569. A contract of rent of immovable property is not extinguished by the transfer of ownership of the property hired. The transferee is entitled to the rights and is subjected to the duties of the transferor towards the tenant.

Section 570. If, at the end of the agreed period, the tenant remains in possession of the property and the lessor knowing thereof does not object, the parties are deemed to have renewed the contract for an indefinite period.

Section 571. If a contract of hire of paddy land is terminated or extinguished after the tenant has planted the paddy, the tenant is entitled to remain in the possession till the harvest is finished, but he must pay rent.

มาตรา 537 อันว่าเช่าทรัพย์สินนั้น คือสัญญาซึ่งบุคคลคนหนึ่งเรียกว่าผู้ให้เช่า ตกลงให้บุคคลอีกคนหนึ่งเรียกว่าผู้เช่าได้ใช้หรือได้รับประโยชน์ในทรัพย์สินอย่างใดอย่างหนึ่ง ชั่วระยะเวลาอันมีจำกัด และผู้เช่าตกลงจะให้ค่าเช่าเพื่อการนั้น

มาตรา 538 เช่าอสังหาริมทรัพย์นั้น ถ้ามิได้มีหลักฐานเป็นหนังสืออย่างหนึ่ง อย่างใดลงลายมือชื่อฝ่ายที่ต้องรับผิดเป็นสำคัญ ท่านว่าจะฟ้องร้องให้บังคับคดีหาได้ไม่ ถ้าเช่า มีกำหนดกว่าสามปีขึ้นไป หรือกำหนดตลอดอายุของผู้เช่าหรือผู้ให้เช่าไซร้ หากมิได้ทำเป็นหนังสือ และจดทะเบียนต่อพนักงานเจ้าหน้าที่ ท่านว่าการเช่านั้นจะฟ้องร้องให้บังคับคดีได้แต่เพียงสามปี

มาตรา 539 ค่าฤชาธรรมเนียมทำสัญญาเช่านั้น คู่สัญญาพึงออกใช้เสมอกัน ทั้งสองฝ่าย

มาตรา 540 อันอสังหาริมทรัพย์ ท่านห้ามมิให้เช่ากันเป็นกำหนดเวลาเกินกว่า สามสิบปี ถ้าได้ทำสัญญากันไว้เป็นกำหนดเวลานานกว่านั้นท่านก็ให้ลดลงมาเป็นสามสิบปี

อนึ่งกำหนดเวลาเช่าดังกล่าวมานี้ เมื่อสิ้นลงแล้วจะต่อสัญญาอีกก็ได้ แต่ต้อง อย่าให้เกินสามสิบปีนับแต่วันต่อสัญญา

มาตรา 541 สัญญาเช่านั้นจะทำกันเป็นกำหนดว่าตลอดอายุของผู้ให้เช่าหรือ ของผู้เช่าก็ให้ทำได้

มาตรา 542 บุคคลหลายคนเรียกเอาสังหาริมทรัพย์อันเดียวกันอาศัยมูลสัญญาเช่า ต่างราย ท่านว่าทรัพย์ตกไปอยู่ในครอบครองผู้เช่าคนใดก่อนด้วยสัญญาเช่าทรัพย์นั้น คนนั้นมีสิทธิ ยิ่งกว่าคนอื่น ๆ

มาตรา 543 บุคคลหลายคนเรียกร้องเอาอสังหาริมทรัพย์อันเดียวกัน อาศัย มูลสัญญาเช่าต่างราย ท่านให้วินิจฉัยดังต่อไปนี้

  1. ถ้าการเช่านั้นเป็นประเภทซึ่งมิได้บังคับไว้โดยกฎหมายว่าต้องจดทะเบียน ท่านให้ถือว่าผู้เช่าซึ่งได้ทรัพย์สินไปไว้ในครอบครองก่อนด้วยสัญญาเช่าของตนนั้นมีสิทธิยิ่งกว่า คนอื่น ๆ
  2. ถ้าการเช่าทุก ๆ รายเป็นประเภทซึ่งบังคับไว้โดยกฎหมายว่าต้องจดทะเบียน ท่านให้ถือว่าผู้เช่าซึ่งได้จดทะเบียนการเช่าของตนก่อนนั้นมีสิทธิยิ่งกว่าคนอื่น ๆ
  3. ถ้าการเช่ามีทั้งประเภทซึ่งต้องจดทะเบียนและประเภทซึ่งไม่ต้องจดทะเบียน ตามกฎหมายยันกันอยู่ไซร้ ท่านว่าผู้เช่าคนที่ได้จดทะเบียนการเช่าของตนนั้นมีสิทธิยิ่งกว่า เว้นแต่ ผู้เช่าคนอื่นจะได้ทรัพย์สินนั้นไปไว้ในครอบครองด้วยการเช่าของตนเสียก่อนวันจดทะเบียนนั้น แล้ว

มาตรา 544 ทรัพย์สินซึ่งเช่านั้น ผู้เช่าจะให้เช่าช่วงหรือโอนสิทธิของตนอันมีใน ทรัพย์สินนั้นไม่ว่าทั้งหมดหรือแต่บางส่วนให้แก่บุคคลภายนอก ท่านว่าหาอาจทำได้ไม่ เว้นแต่ จะได้ตกลงกันไว้เป็นอย่างอื่นในสัญญาเช่า

ถ้าผู้เช่าประพฤติฝ่าฝืนบทบัญญัติอันนี้ ผู้ให้เช่าจะบอกเลิกสัญญาเสียก็ได้

มาตรา 545 ถ้าผู้เช่าเอาทรัพย์สินซึ่งตนเช่าไปให้ผู้อื่นเช่าช่วงอีกทอดหนึ่งโดยชอบ ท่านว่าผู้เช่าช่วงย่อมต้องรับผิดต่อผู้ให้เช่าเดิมโดยตรง ในกรณีเช่นว่านี้หากผู้เช่าช่วงจะได้ใช้ค่าเช่า ให้แก่ผู้เช่าไปก่อน ท่านว่าผู้เช่าช่วงหาอาจจะยกขึ้นเป็นข้อต่อสู้ผู้ให้เช่าได้ไม่

อนึ่งบทบัญญัติอันนี้ไม่ห้ามการที่ผู้ให้เช่าจะใช้สิทธิของตนต่อผู้เช่า

หมวด 2
หน้าที่และความรับผิดของผู้ให้เช่า

มาตรา 546 ผู้ให้เช่าจำต้องส่งมอบทรัพย์สินซึ่งให้เช่านั้นในสภาพอันซ่อมแซม ดีแล้ว

มาตรา 547 ผู้เช่าต้องเสียค่าใช้จ่ายไปโดยความจำเป็นและสมควรเพื่อรักษา ทรัพย์สินซึ่งเช่านั้นเท่าใด ผู้ให้เช่าจำต้องชดใช้ให้แก่ผู้เช่า เว้นแต่ค่าใช้จ่ายเพื่อบำรุงรักษาตามปกติ และเพื่อซ่อมแซมเพียงเล็กน้อย

มาตรา 548 ถ้าผู้ให้เช่าส่งมอบทรัพย์สินซึ่งเช่านั้นโดยสภาพไม่เหมาะแก่การที่จะ ใช้เพื่อประโยชน์ที่เช่ามา ผู้เช่าจะบอกเลิกสัญญาเสียก็ได้

มาตรา 549 การส่งมอบทรัพย์สินซึ่งเช่าก็ดี ความรับผิดของผู้ให้เช่าในกรณีชำรุด บกพร่องและรอนสิทธิก็ดี ผลแห่งข้อสัญญาว่าจะไม่ต้องรับผิดก็ดี เหล่านี้ ท่านให้บังคับด้วย บทบัญญัติทั้งหลายแห่งประมวลกฎหมายนี้ว่าด้วยการซื้อขายอนุโลมความตามควร

มาตรา 550 ผู้ให้เช่าย่อมต้องรับผิดในความชำรุดบกพร่องอันเกิดขึ้นในระหว่าง เวลาเช่า และผู้ให้เช่าต้องจัดการซ่อมแซมทุกอย่างบรรดาซึ่งเป็นการจำเป็นขึ้น เว้นแต่การซ่อมแซม ชนิดซึ่งมีกฎหมายหรือจารีตประเพณีว่าผู้เช่าจะพึงต้องทำเอง

มาตรา 551 ถ้าความชำรุดบกพร่องแห่งทรัพย์สินที่เช่านั้นไม่เป็นเหตุถึงแก่ผู้เช่า จะต้องปราศจากการใช้และประโยชน์ และผู้ให้เช่ายังแก้ไขได้ไซร้ ผู้เช่าต้องบอกกล่าวแก่ผู้ให้เช่า ให้จัดการแก้ไขความชำรุดบกพร่องนั้นก่อน ถ้าและผู้ให้เช่าไม่จัดทำให้คืนดีภายในเวลาอันสมควร ผู้เช่าจะบอกเลิกสัญญาเสียก็ได้ หากว่าความชำรุดบกพร่องนั้นร้ายแรงถึงสมควรจะทำเช่นนั้น

หมวด 3
หน้าที่และความรับผิดของผู้เช่า

มาตรา 552 อันผู้เช่าจะใช้ทรัพย์สินที่เช่าเพื่อการอย่างอื่นนอกจากที่ใช้กัน ตามประเพณีนิยมปกติ หรือการดังกำหนดไว้ในสัญญานั้น ท่านว่าหาอาจจะทำได้ไม่

มาตรา 553 ผู้เช่าจำต้องสงวนทรัพย์สินที่เช่านั้นเสมอกับที่วิญญูชนจะพึง สงวนทรัพย์สินของตนเอง และต้องบำรุงรักษาทั้งทำการซ่อมแซมเล็กน้อยด้วย ด้

มาตรา 554 ถ้าผู้เช่ากระทำการฝ่าฝืนบทบัญญัติในมาตรา 552 มาตรา 553 หรือ ฝ่าฝืนข้อสัญญา ผู้ให้เช่าจะบอกกล่าวให้ผู้เช่าปฏิบัติให้ถูกต้องตามบทกฎหมายหรือข้อสัญญานั้น ๆ ก็ได้ ถ้าและผู้เช่าละเลยเสียไม่ปฏิบัติตาม ท่านว่าผู้ให้เช่าจะบอกเลิกสัญญาเสียก็ไ

มาตรา 555 ผู้เช่าจำต้องยอมให้ผู้ให้เช่าหรือตัวแทนของผู้ให้เช่าเข้าตรวจดู ทรัพย์สินที่เช่าเป็นครั้งคราว ในเวลาและระยะอันสมควร

มาตรา 556 ถ้าในระหว่างเวลาเช่ามีเหตุจะต้องซ่อมแซมทรัพย์สินซึ่งเช่านั้น เป็นการเร่งร้อน และผู้ให้เช่าประสงค์จะทำการอันจำเป็นเพื่อที่จะซ่อมแซมเช่นว่านั้นไซร้ ท่านว่า ผู้เช่าจะไม่ยอมให้ทำนั้นไม่ได้ แม้ถึงว่าการนั้นจะเป็นความไม่สะดวกแก่ตน ถ้าการซ่อมแซมเป็น สภาพซึ่งต้องกินเวลานานเกินสมควร จนเป็นเหตุให้ทรัพย์สินนั้นไม่เหมาะแก่การที่จะใช้เพื่อ ประโยชน์ที่เช่ามา ผู้เช่าจะบอกเลิกสัญญาเสียก็ได้

มาตรา 557 ในกรณีอย่างใด ๆ ดั่งจะกล่าวต่อไปนี้ คือ

  1. ถ้าทรัพย์สินที่เช่านั้นชำรุดควรที่ผู้ให้เช่าจะต้องซ่อมแซมก็ดี
  2. ถ้าจะต้องจัดการอย่างหนึ่งอย่างใดเพื่อปัดป้องภยันตรายแก่ทรัพย์สินนั้นก็ดี
  3. ถ้าบุคคลภายนอกรุกล้ำเข้ามาในทรัพย์สินที่เช่าหรือเรียกอ้างสิทธิอย่างใด อย่างหนึ่งเหนือทรัพย์สินนั้นก็ดี

นเหตุดั่งกล่าวนั้นให้ผู้เช่าแจ้งเหตุแก่ผู้ให้เช่าโดยพลัน เว้นแต่ผู้ให้เช่าจะได้ทราบ เหตุนั้นอยู่ก่อนแล้ว ถ้าผู้เช่าละเลยเสียไม่ปฏิบัติตามบทบัญญัตินี้ไซร้ ท่านว่าผู้เช่าจะต้องรับผิดต่อผู้ให้ เช่าในเมื่อผู้ให้เช่าต้องเสียหายอย่างใด ๆ เพราะความละเลยชักช้าของผู้เช่านั้น

มาตรา 558 อันทรัพย์สินที่เช่านั้น ถ้ามิได้รับอนุญาตของผู้ให้เช่าก่อน ผู้เช่า จะทำการดัดแปลงหรือต่อเติมอย่างหนึ่งอย่างใดหาได้ไม่ ถ้าและผู้เช่าทำไปโดยมิได้รับอนุญาต ของผู้ให้เช่าเช่นนั้นไซร้ เมื่อผู้ให้เช่าเรียกร้องผู้เช่าจะต้องทำให้ทรัพย์สินนั้นกลับคืนคงสภาพเดิม ทั้งจะต้องรับผิดต่อผู้ให้เช่าในความสูญหายหรือบุบสลายอย่างใด ๆ อันเกิดแต่การดัดแปลงต่อเติม นั้นด้วย

มาตรา 559 ถ้าไม่มีกำหนดโดยสัญญาหรือโดยจารีตประเพณีว่าจะพึงชำระค่าเช่า ณ เวลาใด ท่านให้ชำระเมื่อสิ้นระยะเวลาอันได้ตกลงกำหนดกันไว้ทุกคราวไป กล่าวคือว่าถ้าเช่ากัน เป็นรายปีก็พึงชำระค่าเช่าเมื่อสิ้นปี ถ้าเช่ากันเป็นรายเดือนก็พึงชำระค่าเช่าเมื่อสิ้นเดือน

มาตรา 560 ถ้าผู้เช่าไม่ชำระค่าเช่า ผู้ให้เช่าจะบอกเลิกสัญญาเสียก็ได้ แต่ถ้าค่าเช่านั้นจะพึงส่งเป็นรายเดือน หรือส่งเป็นระยะเวลายาวกว่ารายเดือน ขึ้นไป ผู้ให้เช่าต้องบอกกล่าวแก่ผู้เช่าก่อนว่าให้ชำระค่าเช่าภายในเวลาใด ซึ่งพึงกำหนดอย่าให้ น้อยกว่าสิบห้าวัน

มาตรา 561 ถ้ามิได้ทำหนังสือลงลายมือชื่อของคู่สัญญาแสดงไว้ต่อกันว่า ทรัพย์สินที่ให้เช่ามีสภาพเป็นอยู่อย่างไร ท่านให้สันนิษฐานไว้ก่อนว่าผู้เช่าได้รับทรัพย์สินที่เช่า นั้นไปโดยสภาพอันซ่อมแซมดีแล้ว และเมื่อสัญญาได้เลิกหรือระงับลง ผู้เช่าก็ต้องส่งคืนทรัพย์สิน ในสภาพเช่นนั้น เว้นแต่จะพิสูจน์ได้ว่าทรัพย์สินนั้นมิได้ซ่อมแซมไว้ดีในขณะที่ส่งมอบ

มาตรา 562 ผู้เช่าจะต้องรับผิดในความสูญหายหรือบุบสลายอย่างใด ๆ อันเกิดขึ้น แก่ทรัพย์สินที่เช่า เพราะความผิดของผู้เช่าเอง หรือของบุคคลซึ่งอยู่กับผู้เช่า หรือของผู้เช่าช่วง

แต่ผู้เช่าไม่ต้องรับผิดในความสูญหายหรือบุบสลายอันเกิดแต่การใช้ทรัพย์สินนั้น โดยชอบ

มาตรา 563 คดีอันผู้ให้เช่าจะฟ้องผู้เช่าเกี่ยวแก่สัญญาเช่านั้นท่านห้ามมิให้ฟ้อง เมื่อพ้นกำหนดหกเดือนนับแต่วันส่งคืนทรัพย์สินที่เช่า

หมวด 4
ความระงับแห่งสัญญาเช่า

มาตรา 564 อันสัญญาเช่านั้น ท่านว่าย่อมระงับไปเมื่อสิ้นกำหนดเวลาที่ได้ตกลง กันไว้ มิพักต้องบอกกล่าวก่อน

มาตรา 565 การเช่าถือสวนนั้น ท่านให้สันนิษฐานไว้ก่อนว่าเช่ากันปีหนึ่ง การเช่านาก็ให้สันนิษฐานไว้ก่อนว่าเช่ากันตลอดฤดูทำนาปีหนึ่ง

มาตรา 566 ถ้ากำหนดเวลาเช่าไม่ปรากฏในความที่ตกลงกันหรือไม่พึงสันนิษฐาน ได้ไซร้ ท่านว่าคู่สัญญาฝ่ายใดจะบอกเลิกสัญญาเช่าในขณะเมื่อสุดระยะเวลาอันเป็นกำหนดชำระ ค่าเช่าก็ได้ทุกระยะ แต่ต้องบอกกล่าวแก่อีกฝ่ายหนึ่งให้รู้ตัวก่อนชั่วกำหนดเวลาชำระค่าเช่าระยะ หนึ่งเป็นอย่างน้อยแต่ไม่จำต้องบอกกล่าวล่วงหน้ากว่าสองเดือน

มาตรา 567 ถ้าทรัพย์สินซึ่งให้เช่าสูญหายไปทั้งหมดไซร้ ท่านว่าสัญญาเช่าก็ย่อม ระงับไปด้วย

มาตรา 568 ถ้าทรัพย์สินซึ่งให้เช่าสูญหายไปแต่เพียงบางส่วนและมิได้เป็น เพราะความผิดของผู้เช่า ท่านว่าผู้เช่าจะเรียกให้ลดค่าเช่าลงตามส่วนที่สูญหายก็ได้

ในกรณีเช่นนี้ ถ้าผู้เช่าไม่สามารถใช้สอยทรัพย์สินส่วนที่ยังคงเหลืออยู่นั้นสำเร็จ ประโยชน์ได้ดั่งที่ได้มุ่งหมายเข้าทำสัญญาเช่าไซร้ ท่านว่าผู้เช่าจะบอกเลิกสัญญาเสียก็ได้

มาตรา 569 อันสัญญาเช่าอสังหาริมทรัพย์นั้นย่อมไม่ระงับไปเพราะเหตุ โอนกรรมสิทธิ์ทรัพย์สินซึ่งให้เช่า

ผู้รับโอนย่อมรับไปทั้งสิทธิและหน้าที่ของผู้โอนซึ่งมีต่อผู้เช่านั้นด้วย

มาตรา 570 ในเมื่อสิ้นกำหนดเวลาเช่าซึ่งได้ตกลงกันไว้นั้นถ้าผู้เช่ายังคงครอง ทรัพย์สินอยู่ และผู้ให้เช่ารู้ความนั้นแล้วไม่ทักท้วงไซร้ ท่านให้ถือว่าคู่สัญญาเป็นอันได้ทำสัญญา ใหม่ต่อไปไม่มีกำหนดเวลา

มาตรา 571 ถ้าสัญญาเช่าที่นาได้เลิกหรือระงับลง เมื่อผู้เช่าได้เพาะปลูกข้าวลงแล้ว ไซร้ ท่านว่าผู้เช่าย่อมมีสิทธิที่จะครองนานั้นต่อไปจนกว่าจะเสร็จการเกี่ยวเก็บ แต่ต้องเสียค่าเช่า

HIRE-PURCHASE

เช่าซื้อ

Section 572. A hire-purchase is a contract whereby an owner of a property lets it out on hire and promises to sell it to, or that it shall become the property of, the hirer, conditionally on his making a certain number of payments.

มาตรา 572 อันว่าเช่าซื้อนั้น คือสัญญาซึ่งเจ้าของเอาทรัพย์สินออกให้เช่า และ ให้คำมั่นว่าจะขายทรัพย์สินนั้นหรือว่าจะให้ทรัพย์สินนั้นตกเป็นสิทธิแก่ผู้เช่า โดยเงื่อนไขที่ผู้เช่า ได้ใช้เงินเป็นจำนวนเท่านั้นเท่านี้คราว

The contract of hire-purchase is void unless made in writing.

สัญญาเช่าซื้อนั้นถ้าไม่ทำเป็นหนังสือ ท่านว่าเป็นโมฆะ

Section 573. The hirer may at any time terminate the contract by redelivering the property at his own expense to the owner.

มาตรา 573 ผู้เช่าจะบอกเลิกสัญญาในเวลาใดเวลาหนึ่งก็ได้ด้วยส่งมอบทรัพย์สิน กลับคืนให้แก่เจ้าของโดยเสียค่าใช้จ่ายของตนเอง

Section 574. The owner may also terminate the contract in case of default of two successive payments, or breach of any material part of the contract; in which case all previous payments are forfeited to the owner who is entitled to resume possession of the property.

มาตรา 574 ในกรณีผิดนัดไม่ใช้เงินสองคราวติด ๆ กัน หรือกระทำผิดสัญญา ในข้อที่เป็นส่วนสำคัญ เจ้าของทรัพย์สินจะบอกเลิกสัญญาเสียก็ได้ ถ้าเช่นนั้นบรรดาเงินที่ได้ ใช้มาแล้วแต่ก่อน ให้ริบเป็นของเจ้าของทรัพย์สินและเจ้าของทรัพย์สินชอบที่จะกลับเข้าครอง ทรัพย์สินนั้นได้ด้วย

In case of breach of contract by default of the last payment, the owner is entitled to forfeit previous payment and resume possession of the property only after the expiration of one installment period.

อนึ่งในกรณีกระทำผิดสัญญาเพราะผิดนัดไม่ใช้เงินซึ่งเป็นคราวที่สุดนั้น ท่านว่า เจ้าของทรัพย์สินชอบที่จะริบบรรดาเงินที่ได้ใช้มาแล้วแต่ก่อนและกลับเข้าครองทรัพย์สินได้ ต่อเมื่อระยะเวลาใช้เงินได้พ้นกำหนดไปอีกงวดหนึ่ง
